I would like to take the opportunity to invite you to apply to participate
in an early beta test of White Pine Software's latest product,
LearningPoint. LearningPoint is a new, as yet unannounced product that
directly applies existing and new CU-SeeMe and MeetingPoint technology to
the instructor/student environment.

Among the functions that the final version of LearningPoint allow greater
instructor control and student interaction in an educational environment.

LearningPoint is in response to the stated needs of many of our educational
customers. We hope that this product is as exciting to you as it is to
White Pine Software.

========> How to apply for participation

For those of you who have participated in our field test programs in the
past, please be sure to reply so that we may keep our records current.
Kindly print, complete, and sign the site information and beta test
agreement below and fax a hardcopy back to Dawn Hinxman at 603-886-9051.
DO NOT E-MAIL THIS FORM, AS WE NEED YOUR SIGNATURE.

Selection is not guaranteed--it will be determined by the profile you
provide and the available space we have for testers.

========> Who is eligible and when will testing occur?

We are looking at a Beta 2 test cycle from Mid January through early
March 1998. These dates may vary slightly. Some modifications to these
dates are subject to change without prior notification. The distribution of
beta versions will be conducted via ftp, where password restrictions will
apply.

For this Beta 2 test, we have two types of participants: Full system
testers and "Student / Instructor" client testers.

========> Full System Testers will do this:
You will install the full LearningPoint server and client environment and
run tests as the administrator of the system, as instructors, and as
students. You may be asked to host classes for other "client only" testers.

If full system testers complete their testing responsibilities as outlined
in the "expectations" section, you will receive a full, 5 user kit of
LearningPoint when the product ships and 25% off of any upgrade or full
White Pine Software purchase (cameras excluded).

========> Student / Instructor client testers will do this:
You will install just a LearningPoint Student or LearningPoint Instructor
client. You will periodically (about twice a week or more) attend classes
hosted on White Pine's own LearningPoint system and provide feedback.

If Student / Instructor client testers complete their testing
responsibilities as outlined in the "expectations" section, you will
receive a free CU-SeeMe 3.1 client and a coupon worth 25% off the
list price of any White Pine Software videoconferencing product or bundle
(cameras excluded).

========> Expectations of Beta 2 testers

a. You may be asked to download several consecutive versions and fixes
throughout the beta test cycle. This will ensure that you have the benefit
of testing the latest features and bug fixes.

b. This beta may not yet be functionally complete. You must be comfortable
interacting via phone and e-mail with a technical beta coordinator, and
comfortable with recovering from and reporting system problems.

c. You must be aware that however unlikely, it is possible that beta
software could corrupt data. Per the agreement below, you will not hold
White Pine Software liable for any such loss. It is your responsibility to
back up any important data.

d. To remain in the beta program you must communicate to the beta
coordinator at least once per week via e-mail. White Pine reserves the
right to withdraw beta test software from any tester that does not meet
this requirement. The free software offer at the end of testing will not
be redeemable by anyone who has not communicated at least once a week with
White Pine.

e. We take the non-disclosure agreement seriously. This is beta release,
and any functionality, quality, or other issues are subject to change and
should not be described to any third party for any reason anywhere, even on
an Internet newgroup, chatroom, or listserv.

========> Full System Testers system requirements:

This section describes the requirements for sites that can host the new
Instructor and Student CU-SeeMe clients and a MeetingPoint server with
educational extensions.

You should have available at least one Windows NT 4.0 server with a fast
Internet connection (LAN, fractional or full T1 or greater) at least a P166
processor and 64Mb of RAM.

You should have a number of (at least 3) local and remote client PC's
capable of running CU-SeeMe with at least 100Mhz Pentiums with 24Mb memory
and a camera system hooked up to your LAN or the Internet via a TCP/IP
connection. For your clients, Internet or LAN connections of at least
56Kps will be required for Beta 1 testing. Some 28.8K connections are
acceptable, but at least two higher speed connection are required.

You will need either Netscape Navigator 3, 4 or Microsoft Internet Explorer
3.02 to be able to log into the LearningPoint server (IE 4.0 has Java
compatibility issues and can't be used to log in to a LearningPoint server).

Macintosh will not be supported in this beta release.

This section describes the requirements for sites that can Only particpate
as Instructors and Students and who cannot host their own server -- they
must connect to another organization's server (White Pine in the case of
these Beta tests).

You should need a PC capable of running CU-SeeMe with at least 100Mhz
Pentiums with 24Mb memory and a camera system hooked up to your LAN or the
Internet via a TCP/IP connection. Internet or LAN connections of at least
56Kps will be required. We will accept some 28.8K connection testers, but
you must have a reliable, low packet loss connection. The final product
may not support 28.8K modems.

You will need either Netscape Navigator 3, 4 or Microsoft Internet Explorer
3.02 to be able to log into the LearningPoint server (IE 4.0 has Java
compatibility issues and can't be used to log in to a LearningPoint server).

Please tell us about your experience with the White Pine Reflector or
MeetingPoint, CU-SeeMe, and/or other video conferencing applications. A

WHITE PINE TEST AGREEMENT

I. INTRODUCTION

This is a Beta Test Agreement between <your name> (Tester) and
White Pine Software, Inc. (Owner) in which Beta Tester agrees to field
test beta versions of White Pine LearningPoint, an as yet unannounced
product, and to keep Owner informed of the results of the test.

II. DUTIES

Beta Tester agrees to use the Program as it is intended to be used for a
minimum of <any number to which you can commit> hours this test period. If
Tester discovers any problems with the Program, Tester shall fill out a
Problem Report Form supplied by Owner, documenting to the best of the
Tester's ability the events that led up to the problem in the Program and
manifestations of the problem. Problem Reports shall be mailed to Owner
within forty-eight hours of the first noticed occurrence of the problem.
The test period shall start in mid January of 1998 through early March
1998. These dates may vary slightly.

Owner shall supply Tester with a copy of the Program and any necessary
documentation or instruction regarding its operation. The Program shall
remain the property of the Owner and, upon completion of the test period,
the Tester shall return the program and all materials supplied with it to
the Owner.

Client/Server testers who actively participate in the testing of the
programs, and who provide useful feedback, will be entitled to one (1)
complimentary 5 user copy of the final shipping version of the product
when it is released with a 25% off coupon for one White Pine Software
purchase (cameras excluded). Client testers who actively participate in
the testing of the programs, and who provide useful feedback, will be
entitled to one (1) copy of CU-SeeMe 3.1 with a 25% off coupon for one
White Pine Software purchase (cameras excluded). This copy is intended
solely for the Tester's personal use. The complimentary copy will not be
distributed to other users within Tester's company, even if Tester's
company is under a Site License agreement with Owner.

III. DISCLAIMER OF WARRANTY

Beta Tester understands that the program is experimental and that Owner
does not warrant the performance of the Program in any way. All warranties
regarding FITNESS and MERCHANTIBILITY are hereby disclaimed. The program
is accepted AS IS, and owing to its experimental nature Tester is advised
not to rely exclusively on the program for any reason.

IV. TRADE SECRETS

In accepting the Program, Beta Tester recognizes that the Program is a
trade secret belonging to Owner. Tester hereby agrees not to disclose any
information relating to the Program (including its existence) to third
parties without written permission from Owner. Note that this includes any
form of Internet discussions/on-line discussions..

V. LIMITATIONS ON USE

Beta Testers agrees not to sell, transfer, modify, reproduce or distribute
any copies of the Program or the original Program to third parties. Tester
accepts the Program under conditions that it is for Tester's own use and
for no other purpose. Tester hereby acknowledges Owner's copyright in the
program regardless of whether copyright notice appears on the Program or
whether it has been filed with the Copyright Office.

VI. MATERIAL INSIDE INFORMATION

Tester acknowledges that the existence of this Beta Test Agreement, other
information provided to Tester by Owner and Tester's experience in testing
the programs may constitute material inside information and may restrict
Tester's ability to trade in Owner's Common Stock. Tester agrees not to
purchase or sell shares of Owner's Common Stock during the term of this
beta Test Agreement without the express written consent of Robert Putman,
Owner's Treasurer or other Officer designated by the Owner.

The parties hereby acknowledge that there are no agreements, verbal or
written, between Tester and White Pine, Inc.
